operative and have its maturity corresponding to the term

Note: the Buyer shall present the draft of his selected payment

instrument for approval by the Seller and the Seller’s Bank. If

the Buyer’s bank is not one of the top 25 world banks, he must

provide a Confirming Bank.

注意： 买方选择的付款方式后，提交的汇票需要由买方和买方银行批准。如果买方银行不是西方25大顶级银行之一，买方需要提供一家保兑行。

Closing procedures: 结账程序 The following closing procedures shall apply for

this transaction:下列的结帐程序需要符合这个交易。

The Buyer issues the Letter of Intent (LOI) or the Irrevocable Corporate Purchase

Order (ICPO), including full banking information and explicit authorization to soft

probe on Buyer’s bank account, and fresh Bank Comfort Letter (BCL), as per

sample in Annex B. The NCND agreement must be signed by the Buyer, his

mandate and agents involved;买方开立购买意向书或者不可撤销购买订单，包括对于全部

的银行信息和明确的授权的软调查，由买方承担费用以及新的银行意向书，要与附件B里面的样品一致。保密协议必须由买方，买方委托和代理一起签字。

The Seller responds with draft Contract; 卖方起草合同。

Contract discussion and signing. All copies sent via email or fax is deemed

Within 3 (three) banking days of signing of the Contract, the Buyer sends a

RWA/POF via SWIFT MT799, directly to the Seller’s Bank, and indicates his readiness

to open the Bank Guarantee against the Seller’s POP;签订合同三个银行工作日内，买方通过SWIFT MT799直接向卖方银行发送一个RWA/POF，并表示愿意利用卖方协议开立银行保证。

Within 3 (three) banking days of receipt of the Buyer’s RWA, the Seller’s Bank issues

The Contract hardcopies are exchanged via courier; 合同硬拷贝通过通讯员交换。

Buyer opens the agreed pre-advice (non-operative) payment instruments

Upon notification of the pre-advice payment instrument, the Seller issues

the 2% (two percent) Performance Bond (PB), which activates Buyer’s payment

Note: The LOI/ICPO must be printed in Buyer’s Company letterhead, signed,

sealed, scanned and sent back via email. BCL is mandatory for

processing Buyer’s request. Otherwise, the Buyer must voluntarily open

a SWIFT MT799 with proof of funds to the Seller’s Bank. This option must

be indicated in the Buyer’s ICPO and takes place before Seller’s POP.

The LOI/ICPO must include the procedures presented above. This offer

is subject to prior sale, availability and Seller’s confirmation on price,

quantity and all other conditions.
