This Land Contract Assignment Agreement (the

"Agreement") is made and entered into this [Date] by and

between:

Assignor: [Assignor's Name], a [Assignor's Legal

Entity] organized and existing under the laws of [State],

("Assignor"); and.

Assignee: [Assignee's Name], a [Assignee's Legal

Entity] organized and existing under the laws of [State],

with its principal place of business at [Assignee's Address]

("Assignee").

Recitals.

A. Assignor is the owner of certain real property

located at [Property Address] (the "Property").

B. Assignee desires to acquire the Property from

Assignor.

C. The parties agree to assign the Land Contract (the

"Contract") for the Property from Assignor to Assignee.

Agreement.

In consideration of the foregoing and the mutual

covenants and agreements contained herein, the parties

hereby agree as follows:

1. Assignment of Contract.

1.1 Assignor hereby assigns and transfers to Assignee

all of its right, title, and interest in and to the

Contract.
