本意向书不具有约束力，所包含之条款有待上述甲方与乙方就__铜矿_________进行磋商。本意向

书不应被视为任何合同、或具有法律约束力的协议，而应视作仅为磋商之目的而订立的有关本意向

书项下可能达成之合同的条款概述。签署本意向书之目的是为了能够便于甲方就___________项目

___________。双方应对本意向书之内容保密，且除了本意向书项下双方及其律师、会计师和甲方之潜

在土地所有方之外，不得向任何其他第三方透露。本次磋商之交易条款随附其后，但是除非且直到

甲乙双方签署书面协议，这些条款将不具有约束力。随附条款中“应该”一词仅为合同阅读之惯

例，并不意味随附之条款具有或将要具有法律约束力。

This is a non-binding letter of intent that contains provisions that are being discussed

for ___________ from Party A to Party B. This is not a contract. This is not a legally binding

agreement. This is merely an outline of possible contract terms for discussion purposes only.

This is being signed in order to enable Party A to ___________ for ___________ and ___________.

This letter of intent is confidential and shall not be disclosed to anyone other than the

parties and attorneys and accountants and the possible land owner of Party A. The terms of

the transaction being discussed are attached hereto, but the terms are not binding unless

and until they are set forth in a written contract signed by Party A and Party B. The word

"shall" is used in the attached terms only as an example of how a contract might read, and

it does not mean that the attached terms are or ever will be legally binding.

共和国合同法》和其他法规的规定，本着平等互利的原则，就___________项目事宜进行了友好协商，

达成意向如下：

It has been agreed that Party A and Party B cooperate in ___________. Party B intends to

move the business activities – as described in the business license of Party B (development

and industrial production) – to this location and facility.

二、项目总投资约___________万（人民币）。全部建设资金由甲方自筹。

双方约定，本次合作的相关事宜，除政府相关部门及办理相关手续的单位外，应向其他任何无

关单位或个人保密，如双方的合作形式和财务数据等。

Both parties reached, the project information is confidential and shall not be disclosed

to anyone other than related government and departments, including corporation mode

and financing data.

双方约定，因不可抗拒的因素（如国家政策变化、战争、地震、 台风等），造成本意向书须延迟

或终止执行时，双方均不承担违约责任；但遭遇不可抗力因素影响的一方，应以书面形式向另一方

说明事态情况，并及时提交具有法律根据的证明文件。

Both parties reached, the Letter of Intent is not able to be performed because of force

majeure, both parties will not take responsibility. But one of the parties which effected by

force majeure should provide official documents to another party timely.

五、租赁价格：按照双方协商，租赁价格暂按照建筑面积___________。

Leasing fee: both parties reached the leasing fee will be ___________ by building area.

六、租赁期限：暂定___________。

The duration of lease will be ___________.

七、双方将在各方公司批准后，再行具体协商有关详细事宜。

Both parties will try to get approval by the respective boards of directors, detail issues

will be discussed afterwards.

八、本意向书经双方签字盖章后生效，甲乙双方各执一份备查。

The Letter of Intent shall come into effect after signed and stamped by both parties,

the Letter of Intent is made out in two original copies, one copy to be held by each party.
