Refund Agreement

This Refund Agreement (the "Agreement") is entered into on

[insert date], by and between [insert company name], a [insert

state/province] corporation, with its principal place of business at

[insert address], ("Seller") and [insert purchaser’s name], a [insert

state/province] resident, with a mailing address of [insert

address], ("Purchaser").

RECITALS

Whereas, Seller provides products and/or services to the

general public.

Whereas, Purchaser purchased products and/or services

from Seller.

Whereas, Purchaser is now requesting a refund for the

products and/or services purchased from Seller.

Whereas, Seller and Purchaser both mutually desire to enter

into this Agreement for the purpose of settling their disputes and

avoiding further legal proceedings.

NOW, THEREFORE, in consideration of the mutual promises,

covenants, and agreements contained herein, the parties agree as

follows:

1. Identity of Parties

The parties to this Agreement are Seller and Purchaser.

2. Identification of Products and Services

The products and services that were purchased by Purchaser

and are subject to this Agreement shall be specified in writing and

include the date of purchase.

3. Rights and Obligations

Purchaser has the right to request a refund for the products

and/or services purchased from Seller, subject to the terms and

conditions of this Agreement.

Seller will process the refund within [insert time period] days

from the date the request for the refund is received by Seller. In

the event that Seller is unable to process the refund within the

specified time period, Seller will inform Purchaser of the delay

and provide the reason for the delay.

4. Performance and Term

This Agreement will be in effect until the full refund has been

provided to Purchaser in accordance with the terms and

conditions of this Agreement.

5. Breach and Remedies

If either party breaches any of the provisions of this

Agreement, the other party shall have the right to terminate this

Agreement and seek any remedies available at law or in equity.

6. Compliance with Applicable Law

The parties acknowledge and agree that this Agreement shall

be governed and construed in accordance with the laws of [insert

7. Assignment

Neither party may assign this Agreement without the prior

written consent of the other party.

8. Entire Agreement

9. Liability

The parties acknowledge and agree that neither party shall

damages, including lost profits or business opportunities, arising

unenforceable or invalid, such provision shall be severed and the

remaining provisions shall remain in full force and effect.

11. Counterparts

This Agreement may be executed in counterparts, each of

which shall be deemed an original, but all of which together shall

constitute one and the same instrument.

12. Legal Effect and Enforceability

The parties acknowledge and agree that this Agreement is

enforceable and legally binding according to its terms.
