Template (the "Agreement") is entered into by and between

[Company Name], a company organized and existing under the

laws of [Country], with its principal place of business at

[Address] (the "Company"), and [Agent Name], an individual

residing at [Address] (the "Agent"), as of [Date].

1. Appointment. The Company appoints the Agent as its

exclusive [or non-exclusive] agent for the sale of

Agent accepts such appointment and agrees to use its best

2. Commission. The Agent shall be entitled to a
