Agreement Translation

This Agreement (the "Agreement") is entered into on [Date] (the

"Effective Date") by and between [Party A], with its principal place of

business at [Address], and [Party B], with its principal place of business at

Recitals

WHEREAS, [Party A] and [Party B] desire to establish a cooperative

relationship for the purpose of [Purpose of the Agreement]; and

WHEREAS, both parties agree to enter into this Agreement to set forth

the terms and conditions governing their collaboration.

Terms and Conditions

6. Termination

information received from the other party and discontinue the use of any
