facility一词，大家并不陌生，一般而言，其有三层含义： 1设施

这层意思是该词最基本的意思，通常见到的搭配如: facility management 设施管理； production facility

生产设备； sports facility 体育设施等 2便利

这层含义的使用并不是很普遍，与之相关的法律术语如： facility of paymeny clause 付款便利条款，该

条款是保险单中的一个条款，规定被保险人和受益人可指定有权接受保险金的人。 3贷款

这层含义的使用体现了法律英语术语“熟词辟义”的特点，如果不是对法律英语领域熟悉一些的人，

很难把该词在合同中的含义准确翻译出来，因此这是本篇中我要重点强调的一个术语。 facility agreement

（贷款协议）是法律翻译当中经常会遇到的一个合同，我没有查到较为官方的解释，但是按照我的理解，

其比普通的loan agreement要复杂得多，也要更正式一些，其类型包含透支服务、延期付款计划、信贷额

度、循环信贷、定期贷款、信用证和短期额度贷款等等。该协议涉及的词汇包括：

utilisation提款（通常还有另外一个词drawdown也可以翻译为提款）； Acceleration 提前到期；

Sponsor发起人等等。

1. provided一般而言，是provide(基本含义“提供”)的过去式和过去分词，这是众所周知的，但是在这

里，我重点要讲的是它的法律含义，provide在法律英语中的一个含义是：（法律、合同、条文等）规定，其

在法律英语中，多用被动表达，因此常见的如 provided by law

2. provided that是法律英语中出现频率非常高的词，位置不同，含义也就不同：(a)出现在句首，通常翻

译为“如果”，相当于“if”、"where"；(b)出现在一个主句之后，通常翻译为“但条件是”，后者更为常见。

下面可以看两个例句：

例句1：Provided that no objection is raised， the program should be set back. 如果没有反对意见，该等

项目将会被推迟。

例句2：In the event of electronic mail, the date of consent shall be the date such correspondence was sent

by the Manager or members of such committee, provided that the electronic mail was sent to the electronic mail

address most recently provided by the receiving Managers or members of the committee. 在使用电子邮件的情

况下，同意的日期应为管理人或该委员会成员发出该等信函之日，但条件是该电子邮件应被发送到接收的

惯例

Operator shall conduct its activities under this Agreement as a reasonable prudent operator, in a good and

解”，相当于“协议”或“协定” 1理解
