Commission Agreement

佣金协议

This Commission Agreement (the "Agreement") is entered into on

[Date], by and between [Company Name], with its principal place of

business at [Address] (the "Company"), and [Agent Name], residing at

[Address] (the "Agent").

本佣金协议（以下简称“协议”）由[公司名称]（以下简称“公司”），

公司注册地址位于[地址]，与居住于[地址]的[代理名称]（以下简称“代

理人”）于[日期]达成。

1. Scope of Agreement

协议范围

1.1 The Company hereby engages the Agent to act as its exclusive sales

representative for the sale of [Products/Services] in the [Territory].

公司特此委托代理人作为其在[地区]销售[产品/服务]的独家销售代

表。

1.2 The Agent shall have the authority to solicit orders for the

Company's products/services and to negotiate the terms and conditions of

such orders on behalf of the Company in accordance with the Company's

policies and guidelines.

代理人有权代表公司征求产品/服务的订单并根据公司政策和指导方

针代表公司就订单的条款和条件进行协商。

2. Commission

佣金

2.1 For each sale made through the Agent's efforts, the Company shall

pay the Agent a commission of [Commission Percentage] of the net sale

price.

对于每一笔通过代理人的努力完成的销售，公司应支付给代理人等

于净销售价格的[佣金比例]的佣金。

2.2 The commission shall be paid within [Number of Days] days of the

Company's receipt of payment for the sale. Payment shall be made by

佣金应在公司收到销售款项后的[天数]天内支付。支付方式为[支付

3. Reporting

3.1 The Agent shall provide the Company with a monthly sales report

detailing the sales made and the corresponding commissions earned.

代理人需向公司提供详细的月度销售报告，报告中包括已完成的销

售以及相应的佣金收入。

3.2 The sales report shall be delivered to the Company no later than

[Deadline] of each month.

销售报告应于每月[截止日期]前交付给公司。

4. Confidentiality

保密条款

4.1 The Agent agrees to keep confidential all information received from

the Company regarding its products, trade secrets, business activities, and

customers.

代理人同意对公司关于其产品、商业秘密、业务活动和客户的所有

信息保密。

4.2 The Agent shall not disclose any confidential information to any

third party without the prior written consent of the Company.

未经公司事先书面同意，代理人不得向任何第三方披露任何保密信

息。

5. Termination

终止

5.1 Either party may terminate this Agreement by providing [Number of

Days] days' written notice to the other party.

任何一方可通过书面形式提前[天数]天通知对方解除本协议。

5.2 In the event of termination, the Company shall pay the Agent any

outstanding commissions within [Number of Days] days.

在终止事件发生时，公司应在[天数]天内支付代理人所有未支付的

佣金。

6. Governing Law

法律适用

6.1 This Agreement shall be governed by and construed in accordance

with the laws of [Jurisdiction].

本协议适用于并依照[司法管辖区]法律解释和适用。

6.2 Any disputes arising from or in connection with this Agreement shall

be submitted to the exclusive jurisdiction of the courts in [Jurisdiction].

本协议引起的任何争议应提交至[司法管辖区]的专属法院解决。

7. Entire Agreement

完整协议

7.1 This Agreement constitutes the entire agreement between the parties

and supersedes all prior discussions, negotiations, and agreements, whether

oral or written, relating to the subject matter herein.

本协议构成了各方之间的完整协议，取代了与本协议主题相关的所

有口头或书面的先前讨论、协商和协议。

7.2 Any modification to this Agreement shall be made in writing and

signed by both parties.

对本协议的任何修改应以书面形式由双方签字确认。

In witness whereof, the parties hereto have executed this Commission

Agreement as of the date first above written.
