Shareholder Loan Agreement

This Shareholder Loan Agreement (the "Agreement"),

WHEREAS, the Borrower has requested the Lender to lend

2. Purpose of the Loan

2.1 The Lender agrees to lend to the Borrower the amount of

3. Identity of the Parties; Rights and Obligations; Method of

Performance; Term; Default

3.1 The Lender represents and warrants that it is the sole

owner of the funds to be loaned to the Borrower.

3.2 The Borrower shall use the Loan for the purposes set

forth in Section 2.1 above.

3.3 The Borrower shall pay the interest and principal on the

Loan in accordance with the repayment schedule set forth in

Exhibit A.

3.4 In the event of a default by the Borrower, the Lender

shall have the right to take possession of the collateral, if any, and

to enforce any other remedies available to it under applicable law.

4. Compliance with Laws

4.1 The Borrower covenants and agrees to comply with all

applicable laws, rules and regulations of the People's Republic of

China.

5. Rights and Obligations of the Parties

5.1 The Lender shall have the right to demand repayment of

the Loan at any time in whole or in part.

5.2 The Borrower shall have the right to prepay the Loan in

whole or in part.

5.3 The Lender shall have the right to assign its rights and

obligations under this Agreement to any third party.

5.4 This Agreement shall be binding upon and inure to the

benefit of the parties hereto and their respective successors and

assigns.

6. Legal Effectiveness and Enforcement

6.1 This Agreement shall be governed by and construed in

accordance with the laws of the People's Republic of China.

6.2 Any dispute arising in connection with this Agreement

shall be settled through arbitration in accordance with the rules of

arbitration of the China International Economic and Trade

Arbitration Commission.

6.3 This Agreement contains the entire understanding and

agreement between the parties hereto and supersedes all prior

and contemporaneous negotiations, discussions, agreements and

understandings, whether oral or written, between the parties and

shall not be modified except in writing signed by both parties

hereto.

IN WITNESS WHEREOF, the parties hereto have executed this
